Advised client on corporate structure and initial equity requirements, regulatory matters, non-disclosure agreements and other employment related issues.  Prepared software license and escrow agreements, sales and licensing agreements, maintenance and support agreements.
  • Counsel to national mobile solutions and aggregation services company.  Worked closely with corporate counsel to redraft client’s business contracts for the its core business offerings, and provide legal support to the sales, product and development teams. 
  • Counsel to Boston area, a multi-million-dollar real estate investment conglomerate which owns, manages and develops regional real estate portfolios. Joel manages deal flow, financings and purchase and sale transactions, as well as manage day to day legal matters for all aspects of the corporate operations.
  • Counsel to branded, local, specialty food product manufacturers.  Worked closely with founders on build out of manufacturing facility, implementation of supply chain management, branding design and development and product launch.
  • Counsel to fin-tech startup creating bespoke custodial solutions for crypto-currency markets, advising on relationships with financial institutions, crypto-currency exchanges and national and international regulations for the emerging cryptocurrency and blockchain sectors.
  • Counsel to investment banks and broker dealers focused on opportunities in cryptocurrency and blockchain technologies including initial coin offerings.
  • Representation of private individuals and companies before the US Securities and Exchange Commission, Massachusetts Securities Division and the US Attorney’s Office with respect to investigations into initial coin offerings.
  • Counsel to provider of specialized cloud-based service for property and casualty insurance carriers on its $23,000,000.00 acquisition by a global IT professional services firm.
  • Counsel to regional provider of inpatient addition treatment representing in all phases of its business including investment, fundraising and property acquisition.
  • Counsel to national company providing mobile solutions technology and aggregation services. Work closely with corporate counsel to redesign form of general business contracts for the client’s core business offerings, and provide legal support to client’s national sales team.
  • Counsel to local software company startup specializing in development of software for foreign exchange markets (FOREX). Advised client on corporate structure and initial equity requirements, regulatory matters,  non-disclosure agreements and other employment related issues. Prepared software license and escrow agreements, sales and licensing agreements, maintenance and support agreements.
  • Counsel to international bio-diesel technology firm in its sale and licensing of proprietary technology in North America to multi-national energy companies. Prepared non-disclosure agreements, memorandum of understanding and licensing agreement for joint development and marketing arrangement. Negotiated with counsel from buyer and third party suppliers.
  • Counsel to a local investment group in its purchase from a Fortune 500 franchisor of the master franchise license for the Russian Federation. Advised client on corporate equity structure and management agreements for the domestic and foreign entities which would hold the license.
  • Counsel to local start-up brands. Work with clients to prepare a comprehensive strategy for protecting and marketing design of products, branding and packaging, and distribution of goods.
  • Counsel to regional HVAC equipment dealer in SBA financing for purchase of real estate and equity infusion. Transaction included preparation of opinion of counsel regarding corporate structure and enforceability of lien positions.
  • Counsel to regional real estate holding company in acquisition and disposition of commercial, residential and mixed-use properties, including due diligence, negotiation of purchase and sale, and closing with a total annual transactional volume of more than $100,000,000.
  • Counsel to a variety of business purchase transactions, including restaurants, oil delivery company, laundromat, sportswear retailer and technology companies. Transactions include such matters as purchase of good will, transfer of liquor license, assumption of lease, employee buy-out, stock transfers, environmental licensing, and bankruptcy court approval.
